1. Introduction & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the website located at viswoxerp.com (the "Site") and the VISWOX ERP software-as-a-service platform (the "Service"), both provided by Teapot Techies Pvt Ltd ("Teapot Techies," "TPT," "we," "us," or "our"), a company having its registered office at Trichy, Tamil Nadu, India.

By accessing the Site, creating an account, or subscribing to the Service, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree, do not access the Site or use the Service.

We may revise these Terms from time to time. If we make a material change, we will provide reasonable notice — such as a notice on the Site or an email to your registered address — before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

2. Definitions

• "Service" means the VISWOX ERP software-as-a-service platform, including all associated web applications, APIs, and support provided by Teapot Techies.
• "Site" means the website at viswoxerp.com.
• "Customer" means the business entity that has subscribed to and pays for the Service.
• "Authorized User" means any individual issued login credentials to access the Service under one of the account roles described in Section 4 (Account Types & Roles): Contract Admin, Site Supervisor, Subcontractor, Architecture, or Finance/Back-Office.
• "Content" means any data, documents, drawings, cost data, project records, or other information uploaded to or generated within the Service by an Authorized User.
• "Fees" means the subscription charges payable for access to the Service, as set out in Section 5 (Subscription, Fees & Payment).
• "Teapot Techies," "TPT," "we," "us," or "our" means Teapot Techies Pvt Ltd.

3. Eligibility & Registration

To register for an account, you must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the business you represent. By registering, you confirm that all information you provide — including your name, business name, email address, and role — is accurate and current, and you agree to keep it up to date. Teapot Techies may refuse registration or suspend an account if it reasonably believes the information provided is false or misleading.

4. Account Types & Roles

The Service supports five account roles: Contract Admin, Site Supervisor, Subcontractor, Architecture, and Finance/Back-Office. Each role is provisioned as an independent Authorized User account with credentials specific to that individual.

Each Authorized User individually accepts these Terms when they first log in to the Service, and is solely responsible for their own conduct, the accuracy of Content they upload, and the confidentiality of their own login credentials. An Authorized User's actions are not automatically attributed to, or the legal responsibility of, any other Authorized User or role on the same project — including where a Subcontractor or Architecture account was invited onto a project by a Contract Admin.

Only the party that purchases a subscription (typically the Contract Admin's business) is billed for the Fees associated with that subscription and the seats included in it. Additional seats beyond a plan's included allowance may incur additional Fees, as described at viswoxerp.com/pricing.html.

You must keep your login credentials confidential and notify us immediately at solutions@teapottechies.org if you suspect unauthorized use of your account.

5. Subscription, Fees & Payment

The Service is offered on an annual, prepaid subscription basis. Current plan tiers and pricing are published at viswoxerp.com/pricing.html and are subject to change; the Fees in effect at the time of your purchase or renewal apply for that subscription term.

Subscriptions do not automatically renew. Your access to the Service continues through the end of the paid subscription term; if you wish to continue using the Service beyond that term, you must actively purchase a renewal before the term ends. We will make reasonable efforts to notify you in advance of your renewal date, but renewal remains your responsibility.

All Fees are non-refundable, including for any unused portion of a subscription term, except where required by applicable law or expressly agreed by Teapot Techies in writing. Fees are exclusive of applicable taxes (including GST), which will be added to invoices as required by law.

If Fees are not paid by the due date, Teapot Techies may suspend access to the Service until payment is received, in addition to any other rights available to us under these Terms.

6. License & Permitted Use

Subject to your compliance with these Terms and payment of applicable Fees, Teapot Techies grants each Authorized User a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, solely through the interfaces we provide.

You may not, and may not permit any third party to: (a) reverse-engineer, decompile, or attempt to derive the source code of the Service; (b) rent, lease, resell, sublicense, or otherwise make the Service available to any third party outside your organization's authorized use; (c) copy, modify, or create derivative works of the Service; or (d) use automated means (bots, scrapers, or monitoring tools) to access the Service without our prior written permission.

Any use of the Service outside the scope of this license is a material breach of these Terms and may result in immediate suspension or termination of access.

7. Customer Data & Content Ownership

As between you and Teapot Techies, you retain all ownership rights in the Content you or your Authorized Users upload to or create within the Service — including BOQs, bills of materials, project records, cost data, drawings, and financial information.

You grant Teapot Techies a limited license to host, store, process, back up (where applicable), and display your Content solely as necessary to operate, maintain, and support the Service for you. This license is limited to that purpose — Teapot Techies does not acquire any ownership interest in your Content, and will not use it for any purpose unrelated to providing the Service to you, except as described in Section 8 (Data Collection, Use & Security).

You are solely responsible for the accuracy, legality, and quality of the Content you upload, and for ensuring you have the necessary rights to upload it (including any third-party personal data, such as details of subcontractors, employees, or clients entered into the Service).

8. Data Collection, Use & Security

In connection with the Service, Teapot Techies collects: (a) account and registration information you provide (name, business name, email, phone, role); (b) Content you upload to the Service; and (c) usage and technical data generated as you use the Service (log-in activity, feature usage, device/browser information), used to operate, secure, and improve the Service.

We use this information to: provide and maintain the Service, respond to support requests, send you Service-related communications (including renewal reminders), and, in aggregated or de-identified form only, to understand usage patterns and improve VISWOX. We do not sell your Content or personal data to third parties.

We apply reasonable administrative, technical, and organizational security measures designed to protect Content and personal data hosted within the Service, consistent with industry practice for a cloud-hosted business application. Where applicable, we process personal data in accordance with India's Digital Personal Data Protection Act, 2023 and other applicable data protection laws.

No method of transmission or storage is completely secure, and we cannot guarantee absolute security of data transmitted to or stored within the Service.

9. Data Hosting, Backup & Availability

The Service is hosted on cloud infrastructure operated or engaged by Teapot Techies. We take reasonable steps to maintain the availability of the Service and to back up Content stored within it as part of our standard operating practices.

However, Teapot Techies is not a dedicated backup or archival service, and you should not rely on the Service as your sole means of storing or preserving Content. We recommend maintaining your own independent copies of critical business records. To the fullest extent permitted by law, Teapot Techies is not liable for any loss of Content, downtime, or service interruption arising from causes beyond our reasonable control, including but not limited to infrastructure failures, third-party service outages, or force majeure events.

10. Data Export & Retention on Termination

Following termination or expiry of your subscription (including non-renewal), your Content remains available for export for thirty (30) days from the date your access ends (the "Export Window"). You must submit a request to export your Content within the Export Window by emailing solutions@teapottechies.org; Teapot Techies is not obligated to proactively remind you beyond the notice provided at termination described in Section 18 (Termination).

Where export requires effort from Teapot Techies beyond a standard self-service download — such as a custom data extraction — this is a paid service, billed on an hourly basis and scaled to the volume and complexity of the Content involved. We will provide an estimate before beginning such work.

After the Export Window closes, or once a requested export is complete, Teapot Techies may delete your Content from the Service and its backups in the ordinary course of its data retention practices, without further notice or liability to you.

11. User Conduct

When using the Service, you agree not to: (a) use the Service for any unlawful purpose or in violation of applicable law; (b) upload Content containing another person's confidential or personal information without the right to do so; (c) attempt to gain unauthorized access to any part of the Service, other accounts, or TPT's systems; (d) interfere with or disrupt the integrity or performance of the Service; or (e) engage in conduct that is defamatory, harassing, or damaging to the reputation of Teapot Techies or the Service.

We may investigate suspected violations of this Section and take appropriate action, including suspending or terminating the responsible account, in accordance with Section 18 (Termination).

12. Third-Party Services

The Service may integrate with or link to third-party tools and services (for example, payment gateways, SMS, or email delivery providers) to support certain features. Teapot Techies does not control these third-party services and is not responsible for their availability, performance, or content. Your use of any third-party service is subject to that provider's own terms and policies.

13. Intellectual Property (Platform)

The Service — including its software, source code, design, user interface, and all associated trademarks, logos, and branding (including "VISWOX" and the VISWOX logo) — is and remains the exclusive property of Teapot Techies Pvt Ltd or its licensors. Except for the limited license granted in Section 6 (License & Permitted Use), nothing in these Terms transfers any right, title, or interest in the Service to you. You may not use Teapot Techies' or VISWOX's trademarks or branding without our prior written consent.

14. Feedback

If you send Teapot Techies feedback, suggestions, or feature requests regarding the Service, you agree that we may use and incorporate that feedback into the Service without any obligation or compensation to you.

15. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TEAPOT TECHIES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR BUSINESS OUTCOME (INCLUDING COST SAVINGS, SCHEDULE IMPROVEMENTS, OR PROFIT) FOR YOUR BUSINESS.

16. Limitation of Liability

This Section applies only to the Service's agreed, in-scope product features as made available by Teapot Techies, and does not limit liability arising from third-party integrations, unauthorized modifications to the Service, misuse of the Service, or events of force majeure, which are addressed elsewhere in these Terms.

TO THE FULLEST EXTENT PERMITTED BY LAW, TEAPOT TECHIES' TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — UNDER ANY THEORY OF LIABILITY — IS LIMITED TO THE FEES YOU PAID TO TEAPOT TECHIES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (RATHER THAN THE TWELVE MONTHS PRECEDING THE DATE THE CLAIM IS MADE). THIS LIMITATION APPLIES REGARDLESS OF WHEN A CLAIM IS BROUGHT, AND SURVIVES TERMINATION OR NON-RENEWAL OF YOUR SUBSCRIPTION.

IN NO EVENT WILL TEAPOT TECHIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify and hold harmless Teapot Techies, its officers, employees, and affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Service; (b) Content you upload to the Service; or (c) your breach of these Terms.

18. Termination

Teapot Techies may suspend or terminate your access to the Service if you fail to pay Fees when due, or if you materially breach these Terms and do not cure that breach within a reasonable period after we notify you of it.

Because subscriptions do not auto-renew, you may simply choose not to renew at the end of your subscription term to end your relationship with Teapot Techies — no separate cancellation notice is required. Upon termination or expiry of your subscription for any reason, your right to access the Service ends, and Section 10 (Data Export & Retention on Termination) governs what happens to your Content.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Tiruchirappalli (Trichy), Tamil Nadu, India.

20. Notices & Contact

Legal notices to Teapot Techies must be sent by email to solutions@teapottechies.org. We may send notices to you at the email address associated with your account. Notices are deemed received on the date sent, unless the sender receives an automated notice of non-delivery.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. You may not assign your rights or obligations under these Terms without our prior written consent; Teapot Techies may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with any pricing or order details agreed at the time of subscription, constitute the entire agreement between you and Teapot Techies regarding the Service. Acceptance of these Terms via electronic means (including clicking "I agree" or continued use of the Service) is valid and binding to the same extent as a physical signature.
